
Jay Chen practices general business and corporate transactional law, including finance, securities offerings, entity/fund formation and structuring, and mergers and acquisitions.
Prior to joining Lexcuity PC, Jay worked as an attorney at I Park Inc. and Countryman & McDaniel LLP where he represented a variety of clients ranging from small businesses to multinational corporations in a wide range of matters, including corporate governance, partnership and alliance formation, and real estate development and finance. Jay also has experience in cross-border transactions from working with Nauth LPC, a corporate and securities law firm in Toronto, Canada, and Tian Yuan Law Firm, a national law firm in Beijing, China. Notably, Jay assisted several technology startups in raising funds from prominent Silicon Valley venture capital firms while he was at Tian Yuan Law Firm.
Jay is a blockchain enthusiast and received his B.A. in Business and Legal Studies from the University of Waterloo. There, he assisted classmates in incorporating startups and navigating early stage business decisions. Jay received his Canadian J.D. from the University of Ottawa and his US J.D. from American University Washington College of Law. At AUWCL, Jay was a Research Assistant for Professor Egon Guttman and conducted research on securities intermediate liability. Jay is a member of the State Bar of California and is fluent in Mandarin and Cantonese.
